Terms of Use for HRD Services (HRDS) Learning Management System (LMS) and Websites


These Terms of Use were updated effective 15th of March 2013.


Understanding your rights and responsibilities as a HRD Services LMS user


This page states the Terms of Use ("Terms") under which You ("You") may use the HRD Services Sites and the HRD Services LMS (each as defined below)


These Terms constitute a binding agreement between You and HRD Services, and are deemed accepted by You each time that You use or access the HRD Services LMS or HRD Services Websites.


No competitor organisation, or individual acting on behalf of a competitor organisation may use any of HRD services Sites and/or Learning Management System. If you are acting on behalf of a competitor organisation, you must immediately cease and desist using any functionality or accessing information on any of HRD services Sites.


The HRD Services Sites are defined as any Web sites under HRD Services's control, whether partial or otherwise (including, without limitation hrdservices.co.uk, hrds.org.uk and the Web site on which these terms of use were accessed from) and include hrdservices-online-courses.com. HRD Services is defined as an educational, training, development and learning provider.

The HRD Services Sites also include platforms such as MOODLE Learning Management System (LMS used by HRD Services) and on-line communities designed to facilitate valuable professional and personal learning among users of the HRD Services Sites ("Users"). The HRD Services Sites also allow Users to create individual profiles, which may include personal information ("Profiles"), and to make these Profiles, or aspects thereof available to HRDS Assessors and Teachers.


These Terms include the HRD Services Privacy, Refunds & Cancellation Policy, Refunds & Cancellation Policy Statement, which is incorporated into these Terms by reference. Please read these Terms carefully. If You do not accept the Terms stated here, do not use the HRD Services Sites and the HRD Services LMS. By using the HRD Services Sites and/or HRD Services LMS, You agree to be bound by these Terms, including the HRD Services Privacy, Refunds & Cancellation Policy, Refunds & Cancellation Policy Statement.


HRD Services may revise these Terms at any time by posting an updated version to this Web page. You should visit this page periodically to review the most current Terms because they are binding on You. The term "post" as used herein shall mean information that You submit, publish or display on a HRD Services Site or LMS.


Users who violate these Terms may have their access and use of the HRD Services Sites suspended or terminated, at HRD Services's discretion.

  1. Eligibility.

You must be a paid student, enrolled on a specific programme and be known to HRD Services before accessing the LMS. You have the right to request a refund within seven days of making payment. Please see our additional terms in relation to refunds, in the refunds and cancellations section.

  1. Use of HRD Services Content.

(a) HRD Services authorises You to view and access a single copy of the content available on or from the HRD Services Sites solely for Your personal/Study use.


(b) The contents of the HRD Services Sites, such as e-books, texts, word documents, images, video, information, logos, assignment briefs, external resources, audio files and other HRD Services content (collectively, "HRD Services Content"), are protected under copyright, trademark and other laws.


(c) All HRD Services Content is the property of HRD Services or its licensors. The compilation (meaning the collection, arrangement and assembly) of all content on the HRD Services Sites is the property of HRD Services and is protected by copyright, trademark, and other laws.


(d) Unauthorised use of the HRD Services Content may violate these laws and/or applicable communications regulations and statutes, and is strictly prohibited. You must preserve all copyright, trademark, service mark and other proprietary notices contained in the original HRD Services Content on any authorised copy You make of the HRD Services Content.


(e) You agree not to sell or modify the HRD Services Content or copy, reproduce, download display, publicly perform, distribute, or otherwise use the HRD Services Content in any way or form, in whole or in part, without HRD Services's prior written permission, except that the foregoing does not apply to Your own User Content that You legally post on a HRD Services Site.


(f) You further agree to in no other way misuse HRD Services Content that appears on this Site.


(g) Any code that HRD Services creates to generate or display any HRD Services Content or the pages making up any HRD Services Site is also protected by HRD Services's copyright and You may not copy or adapt such code.


(h) Provided that You are eligible for use of the HRD Services Sites, You are granted a limited Access, subject to these Terms, to access and use the HRD Services Sites and the HRD Services Content and to download or print one copy of HRD Services Content to which You have properly gained access, solely for Your own personal, non-commercial use, provided that You preserve all copyright, trademark, service mark and other proprietary notices contained in the original HRD Services Content.


(i) Except for Your own User Content, You may not use any of the HRD Services Content on any other Web site or in a networked computer environment (including, without limitation, by uploading or republishing HRD Services Content on any Internet, Intranet or Extranet site or incorporating the HRD Services Content in any other database or compilation for any purpose).


(j) The use of any data mining, robots or similar data gathering or extraction methods is prohibited.


(k) Any use of the HRD Services Site or the HRD Services Content other than as specifically authorised by these Terms, without the prior written permission of Company, is strictly prohibited and will terminate the Access granted by these Terms.


(l) Unless explicitly stated in these Terms, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. This Access is revocable at any time without notice and with or without cause.


No competitor organisation, or individual acting on behalf of a competitor organisation may use any of HRD services Sites and/or Learning Management System. If you are acting on behalf of a competitor organisation, you must immediately cease and desist using any functionality or accessing information on any of HRD services Sites.

  1. HRD Services Site Restrictions.

(a)You shall not use any HRD Services Site in order to transmit, post, distribute, store or destroy material, including without limitation, HRD Services Content:

    1. in violation of any applicable law or regulation, including but not limited to laws or regulations governing the collection, processing, or transfer of personal information;

    2. (ii) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the Privacy, Refunds & Cancellation Policy, Refunds & Cancellation Policy, publicity or other personal rights of others; or

    3. (iii) that is defamatory, obscene, threatening, abusive or hateful.

(b) You shall not violate or attempt to violate the security of any HRD Services Site, including without limitation, the following activities:

    1. accessing data not intended for such User or logging into a server or account which the User is not authorized to access;

    2. attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

    3. attempting to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to any HRD Services Site, overloading, "flooding", "spamming", "mailbombing" or "crashing"; or

    4. forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting. Violations of system or network security may result in civil and/or criminal liability.

HRD Services will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.


In order to ensure a safe and effective experience for all of our customers, HRD Services reserves the right to limit the amount of data (including E-Books/Learning Objects/Assignment views) that may be accessed by You in any given time period. These limits may be amended in HRD Services's discretion acting reasonably from time to time.

  1. Registration Information

(a) When You register with any HRD Services Site, You will be asked to create a HRD Services account and provide HRD Services with certain information including, without limitation, a valid email address (Your "Information").


(b) HRD Services reserves the right to offer services and products to You based on the preferences that You identify in Your registration and at any time thereafter; such offers may be made by HRD Services via email marketing. Please see HRD Services's Privacy, Refunds & Cancellation Policy, Refunds & Cancellation Policy Statement, for further details regarding Your Information.


(c) Without limiting any of the other disclaimers set forth in these Terms, HRD Services does not provide or make any representation as to the quality or nature of any of the third party products or services provided through any HRD Services Site, or any other representation, or guarantee.


Confidentiality


(d) You are responsible for maintaining the confidentiality of Your MOODLE account, Profile and passwords, as applicable. You may not share Your password or other account access information with any other party, temporarily or permanently.
(e) You shall be responsible for all uses of Your HRD Services Site registrations and passwords, whether or not authorized by You. You agree to notify HRD Services immediately upon becoming aware of any unauthorized use of Your MOODLE account, Profile, or passwords.


Ownership of Your Profile and Information


(f) You understand and acknowledge that You have no ownership rights in Your Profile and Information.


Treatment of Information upon Termination


HRD Services reserves the right to terminate this agreement and delete Your account and all of Your Information after a significant period of inactivity in the LMS. If You access Your HRD Services account periodically, Your HRD Services account will not be deleted.


(g) If You cancel Your HRD Services account or Your HRD Services account is terminated:

    1. all Your account information from HRD Services, including initial assessment and induction material, coursework and other learning content may be deleted from HRD Services's databases;

    2. coursework will continue to be available for some period of time (3 years) as a result of awarding body regulations; and

    3. third parties may retain saved copies of Your Information e.g. HRD Services Assessors, Teachers.

  1. Use of the HRD Services Services.

The coursework management ("HRD Services LMS Database") and other features of the HRD Services Sites may be used only by individuals registered as students on a HRD Services qualification. In addition, HRD Services coursework management may be used by Assessors and Teachers for permitted continued professional development. Your use of the HRD Services Services is also subject to any other contracts You may have with HRD Services. In the case of any conflict between these Terms and any contract you have with HRD Services, the terms of your contract will prevail. The term “post” as used herein shall mean information that You submit, publish or display on a HRD Services Site.

If you are acting on behalf of a competitor organisation, you must immediately cease and desist using any functionality or accessing information on any of HRD services Sites.

    1. Provisions for All HRD Services Users, Including Students and Assessors

I. All HRD Services users agree to not:

      1. take any action that imposes an unreasonable or disproportionately large load on any HRD Services Site's infrastructure;

      2. use any device to navigate or search any HRD Services Site other than the tools available on the Site, generally available third party web browsers, or other tools approved by HRD Services;

      3. reverse engineer or decompile any parts of the Site;

      4. aggregate, copy or duplicate in any manner any of the HRD Services Content or information available from any HRD Services Site, including expired Centre postings, without consent from HRD Services;

      5. frame or link to any HRD Services Content or information available from any HRD Services Site;

      6. post any content or material that endorses or provides instructional information about illegal activities or other activities prohibited by these Terms, such as making or buying illegal weapons, violating someone's Privacy, Refunds & Cancellation Policy, Refunds & Cancellation Policy, providing or creating computer viruses or pirating media;

      7. post any messages or coursework known to contain any kind of malicious code;

      8. defer any contact from another student, college, training provider, agency, or other third party representative seeking access;

      9. share with a third party any login credentials to any HRD Services Site;

      10. post or submit to any HRD Services Site any incomplete, false or inaccurate biographical information or information which is not Your own;

      11. post content that contains restricted or password-only access pages, or hidden pages or images;

      12. solicit passwords or personally identifiable information from other Users;

      13. delete or alter any material posted by any other person or entity;

      14. harass, incite harassment or advocate harassment of any group, company, or individual;

      15. send unsolicited mail or email, make unsolicited phone calls or send unsolicited faxes promoting and/or advertising products or services to any User;

      16. send "junk mail", "chain letters," or engage in any unsolicited mass mailing or "spamming";

      17. send mail or email, place telephone calls or send faxes to users that have specifically requested not to be contacted by You;

      18. post or submit any content that is implicitly or explicitly offensive, such as content that engages in, endorses or promotes racism, bigotry, discrimination, hatred or physical harm of any kind against any group or individual, as determined in HRD Services's reasonable discretion;

      19. use the HRD Services Services for any unlawful purpose or to engage in any illegal activity;

      20. promote or endorse false or misleading information, illegal activities, or conduct that is abusive, threatening, obscene, defamatory or libelous;

      21. post or submit any content or forum messages that display or link to pornographic, indecent or sexually explicit material of any kind.

II. Material Misrepresentations


If at any time during Your use of the HRD Services LMS, HRD Services has reasonable grounds to suspect that You made a material misrepresentation of fact to HRD Services or have otherwise materially misled HRD Services in regards to the nature of Your business activities (the Misrepresentation), the Misrepresentation will be treated as a breach of these Terms and HRD Services may have grounds to terminate Your use of HRD Services Systems Access.


No competitor organisation, or individual acting on behalf of a competitor organisation may use any of HRD services Sites and/or Learning Management System. If you are acting on behalf of a competitor organisation, you must immediately cease and desist using any functionality or accessing information on any of HRD services Sites.

    1. Additional Terms Applicable to Site Postings and General Use

I. A posting may not contain:

      1. any hyperlinks; other than those specifically authorised by HRD Services

      2. misleading, unreadable, or "hidden" keywords, repeated keywords or keywords that are irrelevant to the CONTENT being presented, as determined in HRD Services's reasonable discretion;

      3. the names or trademarks of unaffiliated companies;

      4. the names of colleges, cities, states, towns or countries that are unrelated to Your agreement with HRD Services;

      5. inaccurate, false, or misleading information;

      6. any unlawful discrimination;

      7. material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 18;

II. You may not use Your HRD Services LMS Access to:

      1. post in a manner that does not comply with applicable local, national and international laws, including but not limited to laws relating to labour and employment, equal employment opportunity and employment eligibility requirements, data Privacy, Refunds & Cancellation Policy, Refunds & Cancellation Policy, data access and use, and intellectual property;

      2. post messages or other advertisements for competitors of HRD Services or post jobs or other content that contains links to any site competitive with HRD Services;

      3. sell, promote or advertise products or services;

      4. post any franchise, pyramid scheme, "club membership", distributorship, multi-level marketing opportunity, or sales representative agency arrangement;

      5. post any business opportunity that requires an up front or periodic payment or requires recruitment of other members, sub-distributors or sub-agents;

      6. post any business opportunity that pays commissions;

      7. advertise sexual services;

      8. endorse a particular political party, political agenda, political position or issue;

      9. endorse a particular religion or religious agenda;

III. HRD Services reserves the right to remove any Forum posting or content from any HRD Services Site, which in the reasonable exercise of HRD Services's discretion, does not comply with the above Terms, or if any content is posted that HRD Services reasonably believes may be harmful or detrimental to the reasonable business interests of HRD Services.

    1. Use of the HRD Services LMS Database

      1. You shall use the HRD Services LMS Database as provided in these Terms and in any contract You have with HRD Services. You shall use the HRD Services LMS Database in accordance with all applicable Privacy, Refunds & Cancellation Policy, Refunds & Cancellation Policy and data protection laws, and You agree You shall not further disclose any of the data from HRD Services Resume LMS to any third party.

      2. You shall take appropriate physical, technical, and administrative measures to protect the data You have obtained from HRD Services LMS Database from loss, misuse, unauthorised access, disclosure, alteration or destruction.

      3. All LMS Database Users agree to not:

       

        1. use the HRD Services LMS Database for any purpose other than as a student uploading/downloading coursework and other learning material, including but not limited to advertising promotions, products, or services to any Student/Learner/User of any HRD Services site;

        2. use the HRD Services LMS Database to repeatedly send unsolicited mail, email, or newsletters to other Users or to contact any individual who has specifically informed You they do not want to be contacted.

        3. use the HRD Services LMS Database to source candidates or to contact Student/Learners/Users regarding any opportunity prohibited by Sections 5(B)(II)(f), (g), and (h);

        4. HRD Services does not necessarily monitor materials posted, transmitted, or communicated to or within the Site. If You believe that something on the Site violates these Terms please contact our designated agent set forth in Section 7 below.

        5. If notified of any content or other materials which allegedly do not conform to these Terms, HRD Services may in its discretion investigate the allegation and determine whether to remove or request the removal of the content. HRD Services has no liability or responsibility to Users for performance or nonperformance of such activities.

  1. User Content and Submissions.

(a) You are solely responsible for Your Account information, student account information or forum postings, Profile, content (including, without limitation works in any form, media, or technology whether now known or later developed), messages, audio, video, photos, text, images, assignment compilations or other information (“User Content”) that You post on any HRD Services Site or transmit to other Users.


(b) By posting User Content to any public or private area of any HRD Services Site, including without limitation, message boards, Profiles, forums, contests and chat rooms, You automatically grant to HRD Services and its affiliates an irrevocable, royalty-free, perpetual, assignable, transferable, and fully paid non-exclusive right (including moral rights) and worldwide license to use, copy, reproduce, modify, adapt, publish, translate, communicate to the public, perform, display, and distribute such User Content (in whole or in part) and to prepare derivative works of, or incorporate into other works (in any form, media or technology now known or later developed, for the full term of any rights that may exist in such content) such User Content.


(c) HRD Services acts as a passive conduit for the online distribution and publication of User Content and has no obligation to screen User Content, communications or information in advance and is not responsible for screening or monitoring User Content posted by Users. However, HRD Services may review and remove any User Content that, in its reasonable opinion:

    1. violates these Terms, violates applicable laws, rules or regulations,

    2. is abusive, disruptive, offensive or illegal, or

    3. violates the rights of, or harms or threatens the safety of, Users of any HRD Services Site.

(d) HRD Services reserves the right to, acting reasonably, expel Users and prevent their further access to the HRD Services Sites and/or use of HRD Services LMS for violating the Terms or applicable laws, rules or regulations.


(e) HRD Services may take any action with respect to User Content that it deems necessary or appropriate in its discretion, acting reasonably, if it believes that such User Content could create liability for HRD Services, damage HRD Services's brand or public image, or cause HRD Services to lose Users or (in whole or in part) the services of its ISPs or other suppliers.


(f) HRD Services does not represent or guarantee the truthfulness, accuracy, or reliability of User Content, derivative works from User Content, or any other communications posted by Users nor does HRD Services endorse any opinions expressed by Users. You acknowledge that any reliance on material posted by other Users will be at Your own risk.
The following is a partial list of User Content that is prohibited on the LMS. The list below is for illustration only and is not a complete list of all prohibited User Content.
Content that:

    1. is implicitly or explicitly offensive, such as User Content that engages in, endorses or promotes racism, bigotry, discrimination, hatred or physical harm of any kind against any group or individual;

    2. harasses, incites harassment or advocates harassment of any group or individual;

    3. involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing,  "spamming" or "phishing";

    4. promotes or endorses false or misleading information or illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;

    5. promotes or endorses an illegal or unauthorized copy of another person's copyrighted work, such as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files;

    6. contains restricted or password only access pages, or hidden pages or images;

    7. displays or links to pornographic, indecent or sexually explicit material of any kind;

    8. provides or links to material that exploits people under the age of 18 in a sexual, violent or other manner, or solicits personal information from anyone under 18; or

    9. provides instructional information about illegal activities or other activities prohibited by these Terms, including without limitation, making or buying illegal weapons, violating someone's Privacy, Refunds & Cancellation Policy, Refunds & Cancellation Policy, providing or creating computer viruses or pirating any media; and

    10. solicits passwords or personal identifying information from other Users.

Any Profile You submit must describe You, an individual person. Examples of inappropriate and prohibited Profiles include, but are not limited to, Profiles that purport to represent an animal, place, inanimate object, fictional character, or real individual that is not You.


(i) Any Profile You submit must describe You, an individual person. Examples of inappropriate and prohibited Profiles include, but are not limited to, Profiles that purport to represent an animal, place, inanimate object, fictional character, or real individual that is not You. You may not include in Your Profile any telephone numbers, street addresses, email addresses or other means of contacting You, if these details to do belong to you.


(j) In order to protect our HRD Services Community Users from commercial advertising or solicitation, HRD Services reserves the right to restrict the number of e-mails which a User may send to other Users to a number which HRD Services deems appropriate in its discretion, acting reasonably.


(k) We appreciate hearing from our Students/Learners/Users and welcome Your comments regarding our services and the HRD Services Sites. Please be advised, however, that our policy does not permit us to accept or consider creative ideas, suggestions, inventions or materials other than those which we have specifically requested. While we do value Your feedback on our services, please be specific in Your comments regarding our services and do not submit creative ideas, inventions, suggestions, or materials. If, despite our request, You send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively the "Submission"), the Submission shall be the property of HRD Services. None of the Submission shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any Submission. HRD Services shall own exclusively all now known or later discovered rights to the Submission and shall be entitled to unrestricted use of the Submission for any purpose whatsoever, commercial or otherwise, without compensation to You or any other person.

  1. HRD Services's Liability.

Nature of the HRD Services Sites and Services and HRD Services's responsibilities


(a) The HRD Services Sites and LMS act as, among other things:

  • brochure and marketing site for students to submit requests for course information

  • students/learners/Users to post forum messages, upload coursework, download and view teaching and learning material, interact with other learners and store information relating to their course of studies

HRD Services does not screen or censor every learner’s coursework, including Profiles offered. We do systematically and randomly scan learner work using anti-plagiarism software. Please see our separate plagiarism advice and guidance documentation within your user account.


(b) HRD Services is not responsible for User Content, the quality, safety or legality of the posts or material uploaded, the truth or accuracy of coursework, and therefore HRD Services makes no representations for students to other training providers, colleges and universities.


Content


(c) While HRD Services reserves the right in its discretion, acting reasonably, to remove User and System Content, forum postings, e-books, learning objects or other material, which may be out of date from the HRD Services Sites from time to time, HRD Services does not assume any obligation to do so and, to the extent permitted by law, disclaims any liability for failing to take any such action.


(d) HRD Services LMS provides a platform for individuals to read study and learn, and HRD Services does not screen or censor all the Profiles or User Content on the HRD Services Sites. HRD Services is not involved in the actual communications between students/learners/Users. As a result, HRD Services has no control over the accuracy, reliability, completeness, or timeliness of the Profiles or User Content submitted on the HRD Services Sites and makes no representations about any Profile or User Content on the HRD Services Sites. We only have contact direct with individual students and will not act as a mediator in correspondence between students e.g. through the global chat facility.


(e) Changes are periodically made to HRD Services Sites and may be made at any time.


(f) You acknowledge and agree that You are solely responsible for your profile, content and accuracy of any coursework or own generated learning material contained therein placed by You on the HRD Services Sites.


(g) HRD Services cannot guarantee and does not promise any specific results from use of any HRD Services Site.


(h) HRD Services encourages You to keep a back-up copy of any of Your User Content (coursework, own generated learning material, CVs are other documents used for achieving a qualification). In no event shall HRD Services be liable for the deletion, loss, or unauthorized modification of any User Content.


Your risks


(i) There are risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other Users with whom You come in contact through the HRD Services Sites.


No competitor organisation, or individual acting on behalf of a competitor organisation may use any of HRD services Sites and/or Learning Management System. If you are acting on behalf of a competitor organisation, you must immediately cease and desist using any functionality or accessing information on any of HRD services Sites.


(j) By its very nature, other people's information may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that You will use caution and common sense when using the HRD Services Sites.


(k) The HRD Services Sites and the HRD Services Content may contain inaccuracies or typographical errors. HRD Services makes no representations about the accuracy, reliability, completeness, or timeliness of any HRD Services Site or the HRD Services Content. The use of all HRD Services Sites and the HRD Services Content is at Your own risk.


User-to-User and third-party dealings


(l) Because User authentication on the Internet is difficult, HRD Services cannot and does not confirm that each User is who they claim to be. Because we do not and cannot be involved in All User-to-User dealings or control the behavior of participants on any HRD Services Site.


(m) In the event that You have a dispute with one or more Users, You release HRD Services (and our agents and associates) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

EXCEPT TO THE EXTENT REQUIRED BY LAW, IN NO EVENT SHALL HRD SERVICES, ITS SUPPLIERS, OR ANY THIRD PARTIES MENTIONED ON ANY HRD SERVICES SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE ANY HRD SERVICES SITE AND THE HRD SERVICES CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HRD SERVICES IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The HRD Services Sites contain links to third party Web sites. These links are provided solely as a convenience to You and not as an endorsement by HRD Services of the contents on such third-party Web sites. HRD Services is not responsible for the content of linked third-party sites and does not make any representation regarding the content or accuracy of materials on such third party Web sites. If You decide to access linked third-party Web sites, You do so at Your own risk.

  1. No Resale or Unauthorised Commercial Use.

You agree not to resell or assign Your rights or obligations under these Terms. You also agree not to make any unauthorised commercial use of any HRD Services Site. Assessors, teachers and other associates, You agree not to compete or use any content for competitive gain.

  1. Indemnity.

You agree to defend, indemnify, and hold harmless HRD Services, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from:
(i) any User Content or other material You provide to any HRD Services Site;
(ii) Your use of any HRD Services Content; or
(iii) Your breach of the terms of these Terms,
unless a negligent act or omission of HRD Services or breach of these Terms by HRD Services gave rise to such a claim, action or demand. HRD Services shall provide notice to You promptly of any such claim, suit, or proceeding.

  1. General.

Access Outside of the UK


(a) HRD Services makes no claims or representations that the HRD Services Content may be lawfully viewed or accessed outside of the UK.
(b) Access to the HRD Services Content may not be legal by certain persons or in certain countries. If You access HRD Services from outside of the UK, You do so at Your own risk and are responsible for compliance with the laws of Your jurisdiction.

  1. Term and Termination

(a) These Terms will remain in full force and effect while You are a User of any HRD Services Site at any level.
(b) If you breach any of these Terms or if HRD Services is unable to verify or authenticate any information You submit to a HRD Services Site registration:

    1. HRD Services will have grounds to issue a termination notice to You via email. A termination notice will be issued only where it is reasonably practicable for HRD Services to do so. If it is not reasonably practicable to issue You with a termination notice, Your use of the HRD Services Services may be terminated without notice to You;

    2. Your account may be suspended from the time the termination notice is issued until HRD Services withdraws its notice of termination;

    3. the termination notice will set out details of the alleged breach; and

    4. if:

      1. Your breach is unable to be remedied: or

      2. You do not respond to the termination notice within 10 days; or

      3. You fail to remedy the breach,

HRD Services will terminate Your use of the HRD Services LMS.
(c) Upon termination HRD Services reserves the right, at its discretion, to pursue all of its legal remedies, including but not limited to removal of Your User Content from the HRD Services Sites and immediate termination of Your registration with or ability to access the HRD Services Sites and/or any other services provided to You by HRD Services.

  1. Survival

Even after You are no longer a User of the HRD Services Sites, certain provisions of these Terms will remain in effect, including Sections 2, 5, 6, 8 through 17, inclusive.

Refunds & Cancellations

Refund & Cancellation (including public courses)

  1. If, for whatever reason, you are unsatisfied with your online course, you have the right to cancel your order within seven days of payment and get a full refund, in accordance with EU regulations with the exception of services that start before this cooling off period.

  2. To cancel an order, please send an email to cancellations@hrdservices.co.uk quoting the Invoice No. you received from HRD Services, the reason for cancellation and the name of the person who made the transaction. Refunds will not be issued after this period, therefor you are responsible for submitting key documents and navigating the learning management system fully during this time.

  3. After seven days, You may be liable for the full cost of the programme. In the case where only a deposit has been paid and the seven day cooling off period has been exceeded, users are responsible for maintaining any previously agreed instalment plan. If you, the user/students/learner wishes to come off the programme after seven days, you may be liable for the full cost of the programme. In extenuating circumstances, we will use our discretion as to whether or not full charges will apply. Extenuating circumstances could mean medical reasons, personal circumstances have changed or injury preventing study. To cancel your agreement after the seven day period, we may seek evidence of the extenuating circumstances. A student/teacher contract exists in the induction/enrolment section of your course area. This document outlines the normal timeframe for course completion. Unless extenuating circumstances are declared and agreed with the centre, additional assignment marking fees may apply outside the term.

  4. Downloading of ebooks is strictly forbidden in the first seven days. You may still open and read for study purposes.

  5. We actively monitor student activity in the first seven days of enrolling on a course. This helps us decide if your deposit may be retained. If all e-books in the system have been downloaded (saved to an external device), we will retain the deposit. If e-books have only been viewed, the full deposit will be returned.

HRD Services reserve the right to cancel public courses at short notice due to unforeseen circumstances, minimum numbers not being reached, weather conditions, other reasons deemed to be 'outside of our control'.
